Terms of service
Last updated October 15, 2026 · Version 1.21. Agreement
These terms are an agreement between you and SEOtoolbox.io, Inc., a Delaware corporation, 651 N Broad St., Suite 206, Middletown, Delaware 19709, United States (“we”, “us”), which operates Prompted: the website, the app, the API and the developer docs (the “service”).
By creating an account or using the service, you accept these terms and our privacy policy. If you use the service for an organisation, you confirm that you may accept these terms for it, and “you” includes that organisation. The service is for business use, and you must be at least 18.
2. Your account
- Give accurate details and keep them up to date.
- Keep your password and API keys secret. You are responsible for what happens under your account and keys. Tell us right away at [email protected] if you suspect misuse.
- Workspace admins decide who joins a workspace and what each person can do.
- Agencies are responsible for the client workspaces they run, and for having their clients’ permission to track and report on their brands.
3. Plans, trials and billing
- New accounts start with a free 7-day trial. No card is needed. A trial has limits, such as the number of tracked prompts, answer engines, AI credits and, for agencies, clients and pitches.
- Paid plans are charged in advance for each billing period (monthly or yearly), at the prices shown when you subscribe, and renew automatically until you cancel. Prices are in US dollars and do not include taxes, which you pay where they apply.
- Each plan includes a set number of tracked prompts, answer engines and AI credits a month. Add-ons, such as more prompts, more engines, more AI credits or more pitches, are billed with your plan for each billing period.
- AI credits are used by AI features such as briefs, drafts and Ask AI. They reset at the start of each calendar month and do not carry over. When they run out, those features pause until the next month or until you add more; scans keep running.
- If you upgrade or add something, the change applies right away and we charge the prorated difference for the rest of the period. If you downgrade or remove something, the change applies at the end of the current period, and you keep what you paid for until then.
- Agencies pay a base fee plus a fee for each active client workspace and a lower fee for each paused one. Adding or resuming a client is charged right away, prorated. Archived clients are free.
- You can cancel at any time. Cancelling takes effect at the end of the current period. Payments are not refundable unless the law says otherwise.
- If a payment fails, we retry it over about a week and email you. If it still fails, the subscription ends.
- When a trial or subscription ends, scans and other updates stop and your workspace becomes read-only. We keep your data for at least 30 days so you can choose a plan; after that we may delete it as described in the privacy policy.
- Enterprise plans are billed by invoice on the terms in your order or agreement, which take precedence where they differ from these terms.
- We may change prices with at least 30 days’ notice. New prices apply from your next billing period.
4. Acceptable use
You agree not to:
- break the law or anyone’s rights, including intellectual property and privacy rights;
- upload or publish content that is unlawful, misleading or harmful;
- send reports or emails to people who have not agreed to receive them;
- try to get around limits, security or access controls, or overload the service;
- copy, reverse engineer or resell the service, or scrape it, except through the API within its limits;
- use the service or its output to build a competing product.
We may suspend access that puts the service, other customers or third parties at risk.
5. AI-generated content
The service uses AI to analyse answers from AI engines and to write briefs, drafts, summaries, corrections and suggestions. AI output can be wrong or incomplete. You review it and approve it before anything is published or sent. Workflows wait for your approval unless you set them up otherwise.
The answers we collect reflect what third-party AI engines say. We do not control those engines, and we do not guarantee any visibility, ranking, citation or result. Scores and estimates in the service are indications, not promises.
Between you and us, you own your content and the output created for you. You give us the right to host, process and display it to provide the service, and to use it, de-identified and aggregated where we can, to improve and develop our services, including our own AI models. We do not allow third-party AI providers to train their models on it. We own the service, its software and design, and the AI Visibility Index. If you send us feedback, we may use it freely.
Services you connect (such as WordPress, Slack, Google Merchant Center, Shopify or WooCommerce) are covered by their own terms.
6. Liability
The service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties not stated in these terms, including fitness for a particular purpose.
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim, or US$100 if you have not paid us.
You will defend and hold us harmless from claims arising from your content or your breach of these terms. Nothing in these terms limits liability that cannot be limited by law.
7. Termination
You can stop using the service and delete your workspace at any time in Settings. We may suspend or end your access if you break these terms, do not pay, or put the service or others at risk. Where we reasonably can, we will warn you first.
When access ends, your data is deleted as described in the privacy policy, so export what you need first. Terms that by their nature should continue, such as payment, liability and governing law, continue after termination.
8. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The state and federal courts in Delaware have exclusive jurisdiction, except where the law of your country gives you the right to bring a claim locally.
We may update these terms. We will post changes here and, for significant changes, tell account holders by email before they take effect. If you keep using the service after that, you accept the new terms. Questions: [email protected].
